LVMH is offloading Marc Jacobs to a joint venture formed by WHP Global and G-III Apparel Group, marking the end of the French luxury conglomerate’s nearly 30-year ownership of the American fashion label and underscoring a broader restructuring trend underway across the luxury sector. Under the deal, WHP Global and G-III will jointly acquire the Marc Jacobs intellectual property, with G-III taking operational control of the business while WHP oversees licensing and brand management. Marc Jacobs himself will remain creative director, preserving continuity for the label’s runway collections and broader creative direction.

While financial terms were not disclosed, regulatory filings indicate the buyers are raising up to $850 million to finance the transaction, with each party contributing as much as $425 million. The deal is expected to close later this year.

The acquisition significantly expands WHP Global’s growing fashion portfolio, which already includes Vera Wang, Rag & Bone, and G-Star, while further strengthening G-III’s position in the premium fashion market alongside DKNY, Donna Karan, and Karl Lagerfeld. For LVMH, the sale reflects increasing pressure on major luxury groups to streamline portfolios and prioritize higher-margin core assets amid slowing luxury demand and geopolitical instability affecting global consumer spending.

The transaction also highlights the continued rise of brand-management firms as dominant players in fashion M&A. Companies like WHP Global and Authentic Brands Group have increasingly built businesses around acquiring fashion intellectual property, monetizing licensing rights, and operating leaner infrastructure models than traditional luxury conglomerates.
